These Terms & Conditions (“Terms”) govern your access to and use of all products, tools, websites, applications, games, AI systems, automation platforms, consulting services, and other services provided by CodeLixi LLC (“we,” “our,” or “CodeLixi”). By using our Services, you agree to comply with and be legally bound by these Terms. If you do not agree with these Terms, you may not use or access our Services.
1. Scope and Acceptance
These Terms apply to all SMB clients engaging with CodeLixi for professional services, subscriptions, or project-based work. CodeLixi’s Services are intended solely for legitimate business purposes, and we reserve the right to decline service to entities that do not meet our eligibility criteria. By accessing or using CodeLixi’s Services, you acknowledge that you have the authority to enter into these Terms and any additional agreements associated with your projects.
All projects and subscriptions will also be governed by individual contracts or agreements, which may define scope, deliverables, payment terms, timelines, and additional obligations. These Terms serve as the baseline for all engagements and are supplemented by such agreements where applicable.
2. Description of Services
CodeLixi provides a variety of technology and AI-driven services, including but not limited to: AI-powered tools (such as LixiVoice AI, Nexora), automation platforms (LixiOps), lead generation workflows, web applications, mobile applications, games, custom software development, consulting, and system integrations. The specific nature of services provided may vary based on your agreement, project scope, subscription type, or engagement level.
We reserve the right to modify, enhance, or discontinue any feature or service at our discretion, provided such changes do not materially impact ongoing contractual commitments.
3. User Eligibility and Responsibilities
You represent that you are an SMB, legally authorized to engage CodeLixi’s Services, and that you will use the Services in compliance with all applicable laws, including CCPA. You agree to provide accurate, complete, and current information in all interactions with CodeLixi, including account registration, project specifications, and billing information.
You must not:
- Misuse the Services, AI tools, or automation systems;
- Attempt to reverse-engineer, copy, or replicate our platforms, systems, or source code;
- Use the Services to perform unlawful activities or violate the rights of third parties;
- Resell or distribute any CodeLixi-generated outputs without explicit written consent.
Failure to comply with these responsibilities may result in immediate suspension or termination of Services, and CodeLixi reserves the right to pursue legal remedies.
4. Account Registration and Security
Some services may require creating an account or authenticating through secure channels. You are responsible for safeguarding login credentials and must notify CodeLixi immediately if unauthorized access is suspected. CodeLixi will not be liable for losses arising from compromised accounts due to negligence.
We may suspend or terminate accounts exhibiting suspicious activity or breach of these Terms. Accounts may also be terminated for non-payment or repeated violations of contractual obligations.
5. Payment Terms
CodeLixi offers both subscription-based services (for personal projects like LixiVoice AI, Nexora, etc.) and project-based services for SMB clients.
- Subscriptions are billed according to the plan selected and are recurring until canceled. Payments are non-refundable unless explicitly stated.
- Project-based payments follow a milestone structure (e.g., 30%, 20%, 20%, 30%) as agreed in the project contract. Payment methods include bank transfers, Stripe, invoices, or card payments.
- Late or non-payment may result in suspension or termination of Services until resolved.
All project-specific financial terms are outlined in individual agreements, and CodeLixi reserves the right to enforce these terms strictly.
6. Intellectual Property Rights
All intellectual property associated with CodeLixi including software, platforms, AI models, algorithms, workflows, designs, documentation, and generated outputs remains the sole property of CodeLixi unless explicitly stated otherwise in a project agreement.
Clients are granted a limited, non-transferable right to use outputs strictly for the intended business purposes. Users may not resell, distribute, or reproduce CodeLixi intellectual property without written consent.
7. AI and Automation Disclaimers
CodeLixi’s AI-driven and automated tools are designed to enhance business processes. However, AI outputs may occasionally contain inaccuracies, incomplete information, or errors. You acknowledge that CodeLixi cannot be held liable for decisions, actions, or outcomes based solely on AI-generated outputs, except where explicitly committed in a contract.
You are responsible for verifying AI recommendations, ensuring compliance with applicable laws, and preventing misuse of automation or AI systems.
8. Liability and Limitation
CodeLixi is liable only for specific commitments made in a project or contract. Outside these commitments, we disclaim all liability for indirect, incidental, consequential, or punitive damages, including but not limited to lost profits, business disruption, or data loss.
Where a commitment is made in a contract, liability is strictly limited to the agreed-upon scope, deliverables, or financial value as stated in the project agreement.
9. Confidentiality
All information shared between CodeLixi and the client during the course of business, including business data, workflows, and proprietary methods, is confidential. Both parties agree to maintain confidentiality and not disclose sensitive information to third parties except as required by law or as necessary to perform contractual obligations.
10. Termination
CodeLixi reserves the right to suspend or terminate Services immediately in cases of:
- Breach of these Terms or project agreements
- Non-payment or delayed payment beyond the agreed schedule
- Misuse, illegal activity, or actions that compromise systems or other clients
- Failure to provide required information or cooperation for project execution
Termination may occur without prior notice in cases of serious breach. Upon termination, CodeLixi may retain project work for legal or contractual purposes, and access to outputs or platforms will be restricted.
Clients may terminate Services with proper notice as defined in their individual agreements, subject to payment obligations for work completed.
11. Governing Law and Compliance
These Terms, and all project agreements, are governed by the laws of the State of Texas, USA, and are subject to applicable CCPA compliance for client data. Any disputes arising will first attempt resolution through informal negotiation, followed by legal action or arbitration as necessary.
12. Third-Party Services and Integrations
Some CodeLixi Services may integrate with third-party systems, APIs, CRMs, or cloud platforms. You acknowledge that these third-party services operate independently and are subject to their own terms and privacy policies. CodeLixi is not responsible for interruptions, errors, or data practices of these external services.
13. Service Modifications and Availability
CodeLixi may update, improve, or discontinue features at our discretion. While we aim to maintain continuous service availability, we cannot guarantee uninterrupted access due to system maintenance, upgrades, technical issues, or external dependencies.
14. Data Protection and Privacy
All client data is handled according to CodeLixi’s Privacy Policy, including CCPA compliance. Data shared in projects or subscriptions is processed only for legitimate business purposes and stored securely.
15. Miscellaneous Clauses
- Force Majeure: CodeLixi is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, cyberattacks, or third-party failures.
- Severability: If any provision is found invalid or unenforceable, the remaining Terms remain in full effect.
- Entire Agreement: These Terms, together with project-specific agreements, constitute the full understanding between CodeLixi and the client.
- Waiver: Failure to enforce a provision does not constitute a waiver of rights.
